Terms of Service

1. Acceptance of Terms

By accessing or using KudiFlow AI (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part, you may not use the Service.

These Terms form a legally binding contract between you ("User", "you") and KudiFlow AI ("Company", "we", "us", "our"), a business operating in Ghana with office at PMB CT 112, Cantonments, Accra, Ghana.

We may update these Terms. Material changes will be notified 30 days in advance via email and in-app notice. Continued use after effective date constitutes acceptance.

2. Services Description

KudiFlow AI provides a business management platform for Ghanaian traders and SMEs, including:

• AI-powered sales/expense recording (text & voice)
• Customer debt ledger with SMS reminders
• Daily profit summaries & dashboard analytics
• Mobile Money (MoMo) collection via payment links & QR codes
• Supplier/worker payouts via MoMo
• Offline USSD access (*919*4016#)
• AI business insights & reports
• Inventory & capital tracking (Business plan)

The Service is provided via web app, PWA, and USSD. Features vary by subscription tier (Free, Growth, Business).

3. Eligibility

• You must be at least 18 years old.
• You must have legal capacity to enter contracts under Ghanaian law.
• You must be a resident of Ghana or operating a business in Ghana.
• If registering on behalf of a business, you warrant authority to bind that entity.

4. Account Registration & KYC

Registration

• Register with a valid Ghana phone number verified via SMS OTP.
• Provide accurate business name and type.
• You are responsible for keeping login credentials secure.
• Notify us immediately of any unauthorized access.

KYC / Identity Verification

• Required for Growth/Business plans to enable MoMo collections/payouts.
• We may request: Ghana Card, passport, or driver's license; business registration cert; utility bill.
• Data processed per our Privacy Policy and AML Act 2020 (Act 1044).
• We reserve the right to decline or suspend accounts failing KYC.

5. Subscriptions & Fees

Plans (prices in GHS, inclusive of VAT where applicable)

• Free: GHS 0/month — core ledger, USSD, up to 100 txns/mo
• Growth: GHS 29/month — MoMo links/QR, payouts, AI insights, unlimited txns
• Business: GHS 79/month — inventory, capital tracking, wages, priority support, 1% Moolre fee

Billing

• Billed monthly in advance on subscription date.
• Auto-renews unless cancelled before next billing date.
• No refunds for partial months (except as required by law).
• Prices may change with 30 days' notice. Grandfathering for 90 days on existing annual commitments.
• 14-day free trial on paid plans (no card required). Trial ends → auto-downgrade to Free.

Moolre Transaction Fees

• Charged per successful collection/payout, deducted from settlement.
• Free: N/A (no MoMo features). Growth: ~1.5%. Business: ~1%.
• Fees set by Moolre; we pass through without markup. Subject to change by Moolre.

6. Payments & Mobile Money Processing

• MoMo payments processed by Moolre Technology Ltd, a licensed Payment Service Provider (Bank of Ghana).
• You authorize us to initiate collections/payouts on your behalf via Moolre.
• Funds settle to your MoMo wallet per Moolre's settlement schedule (typically T+0 to T+1).
• We are not liable for MNO delays, network outages, or Moolre service interruptions.
• You must ensure recipient phone numbers are correct. Wrong-number payouts are not reversible by us.
• Disputes: Contact support within 30 days. We'll coordinate with Moolre/MNO per their dispute process.

7. Acceptable Use

You agree NOT to:

• Use the Service for illegal activities (fraud, money laundering, tax evasion, unlicensed lending).
• Process payments for prohibited goods: weapons, drugs, gambling, adult content, counterfeit goods.
• Impersonate another business or person.
• Attempt to reverse-engineer, decompile, or extract source code.
• Interfere with Service integrity (scraping, automated scripts, load testing without permission).
• Share your account credentials or API keys with unauthorized parties.
• Send unsolicited SMS/debt reminders to non-customers (spam).
• Use USSD for non-business purposes or to harass.

Violation may result in immediate suspension/termination without refund.

8. Intellectual Property

• Service, software, trademarks ("KudiFlow", logo), UI, AI models — owned by us.
• Your business data (transactions, customers, inventory) — owned by you. We claim no ownership.
• You grant us a license to host, process, and display your data solely to provide the Service.
• Feedback/suggestions you provide may be used freely without compensation.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability, fitness for particular purpose, non-infringement
• Uninterrupted, error-free, or secure access
• Accuracy of AI parsing, insights, or calculations
• Availability of USSD, MoMo networks, or third-party services

We do not provide financial, tax, or legal advice. AI insights are informational only.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, special, consequential, or punitive damages (lost profits, data, goodwill).
• Total liability for any claim shall not exceed the greater of: (a) fees you paid in the 12 months prior to the claim; or (b) GHS 500.
• This limitation applies regardless of legal theory (contract, tort, negligence, strict liability).

Some jurisdictions (including Ghana) may not allow certain exclusions; in such cases, liability is limited to the maximum extent permitted.

11. Indemnification

You agree to indemnify, defend, and hold harmless KudiFlow AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service in violation of these Terms
• Your business data, transactions, or customer interactions
• Your violation of any law or third-party rights
• Disputes between you and your customers/suppliers

12. Termination

• You may cancel anytime in Settings → Subscription. Access continues until period end.
• We may suspend/terminate for: material breach, non-payment, KYC failure, acceptable use violation, legal requirement.
• On termination: license ends, we delete/disable your account per Retention Policy, paid fees non-refundable (except as required by law).
• Surviving sections: IP, Disclaimers, Liability, Indemnification, Governing Law.

13. Governing Law & Dispute Resolution

• These Terms governed by laws of the Republic of Ghana.
• Exclusive jurisdiction: Courts of Accra, Ghana.
• Before litigation, parties shall attempt good-faith mediation via Ghana Arbitration Centre.
• UN Convention on Contracts for International Sale of Goods (CISG) expressly excluded.
